These terms govern your use of Apex Billing UK ("the Service", "we", "us", "our"), a self-billing platform operated by FTV London Ltd, a company registered in England & Wales. By creating an account or using the Service you agree to these terms. If you do not agree, please do not use the Service.

1. The Service

Apex Billing UK is software that lets a business raise self-billed invoices on behalf of its suppliers, apply UK VAT and the CIS domestic reverse charge, and send copies to those suppliers. We provide the software only. We are not a party to any invoice, self-billing agreement, or transaction between you and your suppliers, and we do not provide tax, accounting or legal advice.

2. Your account

• You must provide accurate registration details and keep them up to date.
• You are responsible for keeping your password secure and for all activity under your account.
• You must be at least 18 and authorised to act for the business you register.
• Tell us promptly of any unauthorised use of your account.

3. Your responsibilities

• You are solely responsible for the accuracy of the invoices, VAT treatments, VAT numbers, CIS deductions and supplier details you enter.
• Self-billing under UK VAT rules requires a valid self-billing agreement with each supplier. Putting those agreements in place, and keeping them current, is your responsibility.
• You must use the Service lawfully and not to create false, misleading or fraudulent invoices.
• You are responsible for your own tax filings and records; the Service is a tool, not a substitute for professional advice.

4. Subscriptions & payment

• Paid plans are billed monthly or annually in advance at the price shown at checkout.
• Subscriptions renew automatically for the same period unless cancelled before the renewal date.
• You can cancel at any time; your plan then runs to the end of the paid period and is not renewed.
• Fees are non-refundable. Please see our Payment & Refund Policy.
• We may change plan prices; we will give notice and any change applies from your next renewal.

5. Acceptable use

You must not misuse the Service — including attempting to gain unauthorised access, disrupting the Service, reverse-engineering it, or using it to break the law or infringe others' rights.

6. Availability

We work to keep the Service available but do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, and may suspend the Service where necessary.

7. Intellectual property

The Service, its software and branding belong to FTV London Ltd. Your data and the invoices you create remain yours; you grant us the limited right to process them to provide the Service.

8. Liability

To the fullest extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, data or goodwill. Nothing in these terms limits liability that cannot be limited by law. Where we are liable, our total liability in any 12-month period is limited to the fees you paid in that period. The Service is provided "as is" and you remain responsible for verifying that your invoices and tax treatments are correct.

9. Suspension & termination

We may suspend or close accounts that breach these terms. You may close your account at any time from within the app or by contacting us.

10. Changes to these terms

We may update these terms from time to time. We will post the updated version here with a new date; continued use means you accept the change.

11. Governing law

These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
